Subscription and issue of equity

London Capital Group is pleased to announce a subscription (the "Subscription") for 5,000,000 new ordinary shares ("Ordinary Shares") in LCG (the "First New Shares") by Stanislas Wawrinka at a subscription price of 5p per First New Share, amounting in aggregate to £250,000. This Subscription is part of an overall sponsorship arrangement under which Mr Wawrinka is investing in London Capital Group and endorsing its services. The consideration for the First New Shares has been provided by the Company as part of LCG's sponsorship arrangement with Mr Wawrinka.

Mr Wawrinka is the world No.3 ranked tennis player and a three-time Grand Slam tournament winner. Mr Wawrinka said: "I am overjoyed to have partnered with a globally recognised name like LCG. They have put their full confidence behind me and I'm very excited to work with them as I start this new phase of my career".

The Company also announces the issue of 2,903,120 new Ordinary Shares (the "Second New Shares", and together with the First New Shares, the "New Shares") to Peterhouse Corporate Finance Limited to settle outstanding fees due from the Company to Peterhouse Corporate Finance Limited.

The New Shares will rank pari passu with the existing Ordinary Shares.

Application has been made to the London Stock Exchange for the New Shares to be admitted to trading on AIM. Admission of the New Shares is expected to become effective on 18 November 2016.

At Admission, the issued share capital of the Company will comprise 380,531,519 Ordinary Shares, of which 1,000,000 Ordinary Shares are held in treasury. The total number of voting rights in the Company will therefore be 379,531,519. This figure may be used by shareholders as the denominator to determine if they are required to notify their interests in, or a change to their interest in, the Group under the Disclosure and Transparency Rules.
