Conversion of Loan Notes and Issue of Equity

Further to the issue of convertible loan notes in the Company as announced on 17 October 2014, LCG has received notice from JIM Nominees Limited to convert GBP250,000 loan notes of £1 each at the conversion price of 25.02p into 999,201 new ordinary shares of 10p each in the Company. The minimum interest return payable in relation to this conversion is an additional 349,720 shares.
Accordingly, an application has been made for 1,348,921 ordinary shares of 10p each to be admitted to trading on AIM ("Admission"). It is expected that Admission will occur at 8.00 am on 19 January 2015. Following Admission, the Company will have 57,149,829 ordinary shares in issue, of which 1,000,000 are held in Treasury. The total number of voting rights in the Company are therefore 56,149,829. This figure (56,149,829) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Rules and Transparency Rules.
