ITV Performance Share Plan (the PSP)
On 1 March 2012 awards were granted over ordinary shares of the Company under the PSP to a number of directors and senior executives. The options will become exercisable in March 2015 subject to the achievement of a financial performance gateway and stretching strategic performance conditions. Any portion of the award that does not vest will lapse.

Sale of ordinary shares
On 29 February 2012 Peter Fincham sold 350,000 ordinary shares in the Company at 86.32p per share. His remaining holding of ITV plc shares is shown in the table below.
ITV Turnaround Plan (the Plan)
Between 2007 and 2008 awards were granted over ordinary shares of the Company under the Plan to a number of directors and senior executives subject to the achievement of TSR and strategic performance conditions. 12.5% of the award has vested and become exercisable. The balance of the award has now lapsed.
