RESULT OF EXTRAORDINARY GENERAL MEETING

Flying Brands Limited (the "Company") is pleased to announce that the Resolution put to shareholders at the Company's extraordinary general meeting held earlier today was duly passed on a show of hands.
Β
Following shareholder approval, the Company expects each of the Retreat Farm Disposal and the Meadow Springs Disposal (as defined in the circular sent to shareholders on 14 November 2011) to complete on 2 December 2011.

The final proxy voting position as received by the Company in respect of the Resolution in advance of the meeting is set out below:

Notes:
(i) Proxy appointments in respect of 69,965 shares which gave discretion to the Chairman have been included in the "For" total.

(ii) Proxy appointments in respect of 270 shares which appointed third parties to vote in favour of the Resolution have been included in the "For" total.

(iii) In addition to the proxies described above, a shareholder holding 7,559,934 shares in the capital of the company appointed the Chairman as its corporate representative to vote in favour of the Resolution. The Chairman was therefore empowered to vote in favour of the Resolution by shareholders holding 17,427,623 shares (representing 62.08% of the Company's issued share capital).

(iv) Issued share capital at 30 November 2011: 28,073,735 shares.

(v) A "Vote Withheld" is not counted towards the votes cast "For" or "Against" the Resolution.
