Impax Asset Management Group plc ("Impax" or the "Company")

Director Shareholding

The Company has been informed today of the following transactions. Ian Simm, Chief Executive Officer, has been gifted for nil consideration 40,000 Ordinary Shares by his wife, Helen Dell. Mr Simm has invested 28,692 Ordinary Shares into his ISA and sold a further 157 shares to cover the cost of the transaction. His wife has invested 28,692 Ordinary Shares (held in her own name) into her ISA and also sold a further 157 shares to cover the cost of the transaction.

Following these transactions, Mr Simm's interest and that of his connected persons in Ordinary Shares is 9,485,947 Ordinary Shares representing 7.4% of the total issued share capital of the Company.
