Results of the placing of existing ordinary shares in Indivior PLC

Further to the announcement released on 09 November 2021 in relation to a proposed placing of ordinary shares in Indivior PLC (the "Company"), Scopia Capital Management LP ("Scopia" or the "Seller") announces that it has sold 20,000,000 ordinary shares (the "Placing Shares") in the Company at a price of 250 pence per share (the "Placing"). The Placing Shares represent approximately 2.8% of the Company's issued share capital.

Following completion of the Placing, the Seller will hold 96,868,842 ordinary shares in aggregate, representing approximately 13.5% of the Company's issued share capital. Scopia will retain its seat on the Company's board and remains a committed long-term shareholder. Post completion of the Placing, Indivior will remain Scopia's top holding.

The shares in the Company retained by the Seller following the Placing will be subject to a 90-day lock-up, subject to customary exceptions.

Jefferies International Limited ("Jefferies") acted as Sole Global Coordinator and Bookrunner on the Placing.
