Issue of Equity and Total Voting Rights
Ideagen PLC (AIM: IDEA), a leading supplier of Information Management Software to highly regulated industries, announces that further to its announcement on 9 November 2021 in relation to the acquisition of Compliance Technology Holdings Pty Ltd ("CompliSpace"), it has allotted a total of 99,739 new ordinary shares of 1 penny each in the capital of the Company ("Ordinary Shares") on 25 May 2022 as part of the initial consideration for the acquisition. The 99,739 Ordinary Shares are to be issued to various members of the CompliSpace management team at a price of 284 pence per Ordinary Share, representing £0.3 million of the initial consideration due.
The remainder of the £57.7 million initial consideration was settled in cash from existing resources to the value of £53.7 million and £3.7 million via options granted to members of the CompliSpace management team under the Company's LTIP scheme.
Application has been made to the London Stock Exchange for the 99,739 new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and trading will commence at 8.00 a.m. on 1 June 2022.
After Admission, the total number of Ordinary Shares in issue will be 293,853,523 and the total number of voting rights will therefore be 293,853,523. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
