Issue of new shares, dealings with PDMRs and total voting rights
Ideagen PLC (AIM: IDEA), a leading supplier of Information Management Software to highly regulated industries, announces the allotment of 406,822 new ordinary shares of 1p each in the capital of the Company ("Ordinary Shares") following the annual award of shares to eligible employees (the "Free Shares") under the Company's Share Incentive Plan ("SIP"). The Company has allotted a further 3,320 Ordinary Shares following the purchase of 3,320 Ordinary Shares at 227p each by a number of employees under the Company's SIP.
Under the terms of the SIP, the Company makes an annual award of Free Shares to all eligible employees subject to the achievement of a profit target set by the Board for a particular year. The profit target was achieved in respect of the year ended 30 April 2020 and the Company has agreed to award new Ordinary Shares to the value of £3,000 to all eligible employees based on the closing mid-market price on 13 November 2020 (the "Award"). In order to obtain the full tax benefits of the SIP, members of staff will need to remain as employees of the Group for 5 years from the date of the Award.
Accordingly, the Company has allotted a total of 410,142 Ordinary Shares to be held in trust under the SIP for the benefit of employees.
As part of the Award, 1,318 new Ordinary Shares were allotted to David Hornsby and Ben Dorks (both executive directors) and to each of the following PDMRs: Barnaby Kent (Chief Operating Officer), Ian Hepworth (Chief Technology Officer), Arun Varma (Chief Marketing Officer), Alex Hewitt (Chief Legal Officer), Geoff Neil (Chief Development Officer) and Graeme Spenceley (Company Secretary).
Following the Award, David Hornsby (Executive Chairman) holds 10,226,072 Ordinary Shares (representing 4.46% of the Company's issued Ordinary Shares and Ben Dorks (Chief Executive Officer) holds 2,653,206 Ordinary Shares (representing 1.16% of the Company's issued Ordinary Shares).
Application has been made to the London Stock Exchange for the 410,142 new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and trading will commence at 8.00 a.m. on or around 26th November 2020.
After Admission, the total number of Ordinary Shares in issue will be 229,453,150 and the total number of voting rights will therefore be 229,453,150. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
