There is a written agreement entered into on 3 April 2007 between One51 CapitalLimited, 151 Thomas Street, Dublin 8, Ireland and Cantor Fitzgerald Europe underwhich One51 Capital Limited (1) controls Cantor Fitzgerald Europe's votingrights in relation to the underlying Irish Continental Group shares owned byCantor Fitzgerald Europe to hedge the CFDs entered into with One51 CapitalLimited. and (2) is entitled to acquire the beneficial interest in such IrishContinental Group shares. The number of underlying shares to which thisagreement relates is currently 2,620,191 Irish Continental Group shares. Thisagreement is open-ended and the prices at which One51 Capital Limited. isentitled to acquire the underlying shares to which the agreement relates are thereference prices per Irish Continental Group share as set out in the table belowless any margin payments to be made or which have been made by One51 CapitalLimited to Cantor Fitzgerald Europe in respect of the relevant CFDs. Thisarrangement does not apply to the other 1,665,145 shares held by CantorFitzgerald Europe. A Long CFD is a product where the client to whom the product is sold is taking along economic interest in the underlying share price such that the client canrealise a gain if the price of the underlying securities rises above thereference price. A purchaser of a CFD contract will realise a gain if the price of the underlyingsecurity goes up. A seller of a CFD contract will realise a gain if the price ofthe underlying security goes down. Other than as set out above, there are no written or oral agreements betweenCantor Fitzgerald Europe and any clients concerning the control of voting rightsin relation to the underlying shares used to hedge the CFDs and Spreadbets. The CFD contracts are open-ended and there is no rollover into new contracts.
