Novar PLC31 March 2005 31 March 2005 NOVAR PLC BOARD CHANGES On 31 March 2005, Honeywell Acquisitions Limited (the "Offeror") announced thatthe recommended cash offers for the entire issued and to be issued ordinaryshare capital and for the entire issued and to be issued preference sharecapital of Novar plc ("Novar") made on 10 January 2005 by JPMorgan plc on behalfof the Offeror had been declared unconditional in all respects. Novar announces that Bob Baker, Roger Fradin, John J. Tus, Anne Madden andGeorge Van Kula have joined the board of Novar as non-executive directors. Other than the matters referred to below, there are no further details requiringdisclosure in respect of Messrs. Baker, Fradin, Tus,Van Kula and Ms. Maddenunder paragraphs 16.4(a) and 16.4(b) of the Listing Rules of the UK ListingAuthority in connection with those appointments. Mr Fradin is currently a director of MSC Industrial Direct (a company listed onthe New York Stock Exchange). Sir Graham Hearne, Hans Nilsson, Oliver Stocken, Sir Geoffrey Whalen, StephenHoward, Mike McKeon and Daniel Dayan have resigned from the Novar board.
