Listing Application and Issue of Ordinary Shares
Gamma Communications plc (the "Company") announces that following the acquisition of Satisnet Limited on 16 August 2023, as announced in the half year results on 5 September 2023, 246,599 ordinary shares of 0.25p each (the "New Shares") in Gamma will be issued as consideration to the shareholder of Satisnet Limited. An application has been made to the London Stock Exchange for the listing of 246,599 New Shares to be admitted to trading on AIM.
The New Shares are expected to be admitted to trading at 8:00am on Wednesday 20 September 2023. Any New Shares will, when issued, rank pari passu with the existing ordinary shares of the Company.
The Company's total issued share capital following admission will consist of 97,400,592 ordinary shares of 0.25 pence each with one voting right per share. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
