Total Voting rights

Fairpoint Group plc confirms that at close of business on 31 July 2012 its capital consisted of 43,609,346 ordinary shares of 1p each ("Ordinary Shares"). On that date, the Company held 1,666,667 Ordinary Shares in treasury, the voting rights of Ordinary Shares held in treasury are automatically suspended and therefore, the total number of voting rights in Fairpoint Group plc on that date was 41,942,679.

The above figure (41,942,679) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Fairpoint Group plc under the FSA's Disclosure and Transparency Rules.
