Formation Group PLC04 May 2006 Formation Group plc (the "Company") Notice of shareholdings Further to the announcement on 2 May 2006, the Company announces that, on 2 May2006, David Kennedy purchased 5,250,000 ordinary shares of 1p each ("OrdinaryShares") in the issued share capital of the Company at 8p per share,representing 4.57% of the 114,873,815 Ordinary Shares currently in issue("Issued Share Capital"). Following the subscription on 2 May 2006 for11,487,381 new Ordinary Shares, Mr Kennedy's shareholding will represent 13.25%of the Company's enlarged issued ordinary share capital of 126,361,196 OrdinaryShares ("Enlarged Share Capital").
