Formation Group PLC04 May 2006 FORMATION GROUP PLC ("Formation" or "the Company") Board Appointment The Board of Formation is pleased to announce the appointment of Laurence AndrewTurnbull (Laurie) as a non-executive director. His appointment takes immediateeffect. Laurie, aged 56 years, has extensive experience in a senior capacity in bothpublic and private companies. For over 15 years, he was chief executive officerof Texas Group plc, the venture capital company and was active in numerousacquisitions and initial public offerings. Laurie is currently chief executiveof PenMc Plc, the Aim quoted shell company, and non-executive chairman of CBGGroup Plc, the Aim quoted insurance broker and financial services company. Laurie has an interest in 364,000 Formation shares, representing 0.32% of thecurrent issued share capital of 114,873,815 shares. Following the issue of11,487,381 new ordinary shares announced on 2 May 2006, Laurie Turnbull'sholding will represent 0.29% of the enlarged issued share capital of theCompany. Texas Holdings Limited, of which Laurie Turnbull is a director, is alsointerested in 8,590,000 ordinary shares of 1p each in the Company, whichrepresents 7.48% of the current issued share capital and 6.80% of the enlargedshare capital of the Company. In addition to the companies disclosed above, Laurie is currently a director ofthe following: Darcy Burke FS Limited, Everfirst Services Limited, Exius Limited, KingsbridgeAdvisors Limited, Manntex Limited, Matchwinner Limited, Maxdelta Limited, MurrayManagement Group Limited, Peers Hunt Alcester Limited, Springfield CartonsLimited, Swinburne James FS Limited, Swinburne James Limited, Texas HoldingsLimited. In the previous 5 years, Laurie has been a director of the following companies: CBG Spencer Lavery Healthcare Limited, Chamberlain Components Limited (1),Intrigue Limited, Peers Hunt plc, Texas Group plc, Texas Hotels & LeisureLimited and Texas International Limited. (1) Chamberlain Components Limited entered into administration receivership atthe time, or 12 months following the time, when Laurie Turnbull was a director. In addition, Dennis Castings Limited entered into administration receivership atthe time, or 12 months following the time, when Laurie Turnbull was a director.
