Payment of Shares under The Foxtons Group plc 2020 Bonus Banking Plan
Notification and public disclosure of transactions by Persons Discharging
Managerial Responsibilities ("PDMRs") and persons closely associated with them
On 2 April 2024, Ordinary £0.01 shares in the Company ("Ordinary Shares") were acquired under The Foxtons Group plc 2020 Bonus Banking Plan ("BBP") by certain directors / persons discharging managerial responsibility ("PDMRs") of the Company. These Ordinary Shares were transferred in respect of Awards granted under the annual Bonus Banking Plan as set out in the Remuneration Policy approved by shareholders, whereby 100% of the participants' plan balance in the final fourth year of the plan will normally be settled by "Payments" in the form of shares transferred or allotted to the participant. Full details are set out in the directors' remuneration report for 2023.

No consideration was paid for the Ordinary Shares. The number of Ordinary Shares transferred under these BBP Payments have been calculated using an Ordinary Share price of 44.51 pence per share being the mid-market value of an Ordinary Share for the 30-day period finishing on 31 December 2023, being the end of the relevant financial year, in accordance with the BBP rules.
The Ordinary Shares are not subject to a vesting or holding period but are subject to the clawback provisions of the BBP.
