Bonus Issue and Block Listing Applications
Flutter 2019 final dividend: bonus issue of new Flutter shares
Further to the announcement of 27 March 2020 and to the 2020 Notice of AGM of 6 April 2020, a listing application has been made for the Flutter 2019 final dividend of 1,312,260 new Flutter ordinary shares of €0.09 each, to be admitted to: (i) listing on the premium listing segment of the Official List of the Financial Conduct Authority and the Official List of Euronext Dublin; and (ii) trading on the London Stock Exchange's Main Market for listed securities and the Euronext Dublin Market (the "Bonus Issue").
The Bonus Issue shares will be issued to those Flutter shareholders who appeared on the Flutter register of members at 7.00 p.m. on 14 April 2020. The Bonus Issue was overwhelmingly approved by Flutter shareholders at the Flutter AGM on 14 May 2020.
Admission is expected to become effective at 8.00 a.m. on 22 May 2020.
Block listing application
In connection with the acquisition of The Stars Group Inc. ("TSG") and the assumption by Flutter of certain share scheme obligations of TSG, a block listing application has been made, in aggregate, for 250,000 ordinary shares of €0.09 each in the Company, pursuant to the following share schemes:
· Amaya Gaming Group Inc. Stock Option Plan; and
· The Stars Group Inc. Equity Incentive Plan,
to be admitted to: (i) listing on the premium listing segment of the Official List of the Financial Conduct Authority and the Official List of Euronext Dublin; and (ii) trading on the London Stock Exchange's Main Market for listed securities and the Euronext Dublin Market.
Admission is expected to become effective at 8.00 a.m. on 22 May 2020.
When issued all of the above shares will be fully paid and will rank pari passu in all respects with the existing issued ordinary shares of the Company.
