Acquisition of VOR Financial Strategy Limited
Fiske Plc (the 'Company') is pleased to announce that it has purchased the entire share capital of VOR Financial Strategy Limited, the London based investment advisors and consultants specialising in international fixed interest securities and equities, with funds under management of £20m.
The initial consideration for the acquisition was £210,000, with a further adjustment to take account of the net cash assets. The initial consideration comprised of £160,000 of cash with the additional £50,000 being raised via the issue of 85,470 Ordinary Shares of 25 pence each, at an issue price of 58.5 pence per share.
Application has been made for admission of the new shares to trading on AIM, with admission expected to take place on 16 April 2009.
As a result of this transaction, the Company's issued share capital consists of 8,435,205 ordinary shares with a nominal value of £0.25 each, with voting rights. The Company does not hold any Ordinary Shares in Treasury.
