Director/PDMR Shareholding
FDM Group (Holdings) Plc ("FDM" or the "Company"), a global professional services provider with a focus on Information Technology, announces that on 30 April 2025 the Directors/PDMRs named below acquired ordinary shares of £0.01 each in the capital of the Company ("Shares"), as follows:

The Shares represent an award of "Matching Shares" which the individuals were entitled to receive at no cost to them under FDM's all employee "Buy-As-You-Earn Plan" (the "Plan") and were transferred to them from FDM's Employee Benefit Trust. The award of the Shares follows their vesting in accordance with the Plan, with the number of Shares representing 33.3% of the number of Shares purchased by each of the PDMRs using their respective monthly contributions made to the Plan in the 2021 and 2023 calendar years (the "Purchased Shares"). The award of Matching Shares was settled net, after deduction of the tax payable by the individuals on the award.
If the Purchased Shares continue to be retained in the Plan for the required period, each individual named above will be entitled to receive further awards of "Matching Shares" in respect of the Purchased Shares, as follows:
· in respect of Purchased Shares acquired in 2021: one further award of 33.3% in 2027; and
· in respect of Purchased Shares acquired in 2023: an award of 33.3% in 2027 and a further award of 33.3% in 2029.
