ELECTRONIC DATA PROCESSING PLC ("EDP" or "the Company")
Completion of Tender Offer
Further to the announcement on 7 April 2009, the Company has today, 9 April 2009, repurchased from Arden Partners plc, at 50p per EDP ordinary share, the 11,991,386 EDP ordinary shares acquired by Arden Partners plc under the tender offer and, following completion of the repurchase, 10,738,289 of those shares will be cancelled and 1,253,097 held in treasury.
Following the repurchase, there remain:
(i) 12,530,976 issued ordinary shares admitted to trading (excluding shares held in treasury).
Each ordinary share carries the right to one vote in relation to all circumstances at general
meetings of ordinary shareholders; and
(ii) 1,253,097 ordinary shares in treasury. The voting rights of treasury shares are automatically
suspended.
Accordingly, following this repurchase the Company had total voting rights of 12,530,976 EDP ordinary shares.
The total voting rights figure of 12,530,976 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
Following completion of the tender offer and the repurchase of the 11,991,386 EDP ordinary shares by the Company the share interests of the directors of the Company, as at today's date, are as follows:
