Result of General Meeting and Issue of Equity

Duke Royalty Limited, a provider of long term alternative capital solutions to a diversified range of private, owner-managed SME businesses in Europe and abroad, is pleased to announce that the Resolution was duly passed by Shareholders at the Company's General Meeting held today in connection with the Fundraising to raise £20 million (before expenses).

Accordingly, an application has been made for 57,142,858 New Ordinary Shares, representing the 52,857,143 Placing Shares and the 4,285,715 PrimaryBid Shares, to be admitted to trading on AIM ("First Admission"), which is expected to take place at 8.00 a.m. on 27 May 2022.

The Company also announces the issuance of a further 205,128 New Ordinary Shares in the Company in lieu of cash compensation due to Duke's Investment Committee. Application has been made for these New Ordinary Shares to be admitted to trading on AIM ("Second Admission"), which is also expected to take place at 8.00 a.m. on 27 May 2022.

Following First Admission and Second Admission, the Company will have 416,151,346 Ordinary Shares in issue carrying voting rights admitted to trading on AIM. This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules following Admission.
