DIRECTOR/PDMR Shareholding: Disclosure Rules and Transparency Rules 3.1.4 R (1) (a)

ACAL PLC

On 31 March 2009, Nicholas Jefferies, Chief Executive and a Director of Acal Plc, was granted a nil-cost option by Acal Plc over 620,498 ordinary shares of 5p each in the capital of Acal Plc on similar terms to awards granted under the Acal plc 2008 Long-Term Incentive Plan (the Award).

The Award will be exercisable between 31 March 2012 and 31 March 2019 dependent upon the satisfaction of certain performance criteria under the terms of the Award. The number of shares under the Award was determined using a share price of 90.25 pence per share, being the closing price of an ordinary share of Acal Plc on 30 March 2009, the last business day prior to the date of grant. No consideration was paid for the grant of the Award.

This Award represents Mr Jefferies' only interest in the ordinary shares of Acal plc.
