TRANSACTION IN OWN SHARES AS PART OF THE

SHARE BUYBACK SCHEME

AND

TOTAL VOTING RIGHTS

dotdigital Group Plc (AIM:DOTD), the leading provider of intuitive Software as a Service ("SaaS") and managed services to digital marketing professionals announces that, following the announcement on 11 November 2014, regarding the Company's intention to commence a share buyback scheme of up to 3.0m ordinary shares of 0.5 pence each ("Shares") (the "Share Buyback"), on 25 February 2015, the Company purchased a further 375,000 Shares at a price of 35.00 pence per Share.

The purchased Shares will be held in treasury. This purchase represents 0.13 per cent of the current issued share capital of the Company. It is intended that the Shares that have been purchased through the Share Buyback and held in treasury will be used to satisfy the Company's employee share option schemes.

Due to the general illiquidity in trading of its Shares, the Company may, in purchasing Shares pursuant to the Share Buyback, make purchases in excess of the limit of 25 per cent of average daily volume in the 20 trading days preceding the date of the purchase which is set out in the Code of Market Conduct and, in such circumstances, the Company would be deviating from the safe harbour set out in MAR 1 Annex 1 to the Financial Conduct Authority Code of Market Conduct.

Following the above transaction, the Company holds 660,000 Shares in treasury, and has 284,552,065 Shares in issue (excluding the Shares held in treasury). This figure of 284,552,065 represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
