Notice of AGM
19 October 2020 - Craneware (AIM: CRW.L), the market leader in Value Cycle software solutions for the US healthcare market, is pleased to confirm that the Annual Report & Accounts for the year ended 30 June 2020, together with the Notice of Annual General Meeting ("AGM") and a Form of Proxy, has been posted to shareholders and are available on the Company's website at www.craneware.com.
Ahead of the AGM, the Company is pleased to confirm a return to strong sales in the three months ended 30 September 2020 (Q1), in line with the outlook released at the time of the Final Results. Sales in Q1 are ahead of the strong comparator Q1 of the prior year. The Company continues to see substantial new opportunities entering the sales pipeline and while cognisant of the ongoing pandemic, the Board is confident in the continued resilient performance of the business and looks forward to providing a further update at the time of the AGM.
Notice of AGM
In light of current COVID-19 restrictions, the Board hopes that members will understand that the Annual General Meeting ("AGM") this year will be run as a closed meeting, with only the minimum required quorum of two shareholders being present in person or by proxy as is necessary to enable the formal business of the AGM to be conducted. As a result, for the safety and well-being of our shareholders, the Directors and our employees, shareholders and/or their proxies/corporate representatives will not be permitted to attend the AGM in person this year.
All of the voting in respect of the resolutions to be proposed at the AGM will be conducted by way of poll votes. Members of the Company are therefore strongly encouraged to submit a proxy vote in advance of the meeting.
To be valid, the proxy form must be completed and sent to Link Asset Services, (PXS), The Registry, 34 Beckenham Road, Beckenham, Kent, BR3 4TU. Alternatively, shareholders may appoint a proxy and submit a proxy vote for this meeting online at www.signalshares.com. For your vote to be valid, please ensure that it is received no later than 10am on 13 November 2020.
In order to provide shareholders with an opportunity to ask questions, as they would normally be entitled to do at the AGM, shareholders are invited to submit to the Directors any questions they would otherwise have raised at the AGM, in advance of the meeting via email to investors@craneware.com by no later than 10am on Friday 13 November 2020. Responses to the questions will be provided following the conclusion of the Annual General Meeting.
Whilst this year's AGM will be solely functional, the Board would like to assure shareholders that the arrangements adopted this year are temporary in light of the COVID-19 pandemic.
The AGM will be held at the offices of Craneware plc, 1 Tanfield, Edinburgh, EH3 5DA, UK, on Tuesday 17 November 2020, at 10am.
