Exercise of Warrants

Critical Metals plc, a mining investment company established to acquire mining opportunities in the critical and strategic metals sector, is pleased to announce that it has received warrant exercise notices to subscribe for 2,000,000 new ordinary shares of £0.005 each in the Company ("Ordinary Shares") (the "Warrant Shares"). 

The Warrant Shares are being issued pursuant to the exercise of 2,000,000 warrants over Ordinary Shares at an exercise price of 10 pence per Ordinary Share for total gross proceeds of £200,000. 

Admission and Total Voting Rights

Application has been made for the 2,000,000 Warrant Shares to be admitted to the standard segment of the Official List and to trading on the main market for listed securities of the London Stock Exchange, and admission of the Warrant Shares is expected to occur on or around 26 August 2022 ("Admission"). The Warrant Shares will rank pari passu with the existing Ordinary Shares.

For the purpose of the Disclosure and Transparency Rules, following Admission the enlarged issued share capital of the Company will comprise 43,659,735 Ordinary Shares. The Company does not hold any shares in treasury. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.

Molulu Project Update

Further to recent announcements regarding the proposed acquisition of the Molulu Project, progress towards readmission of the Company's shares to listing on the standard segment of the Official List of the FCA and to trading on the London Stock Exchange plc's Main Market continues and the Company expects to be in a position to update shareholders again in the near future.

Critical Metals was formed as an investment company and intends to make equity investments into operators or near-term production operators within the natural resources development and production sector in the continent of Africa. It is envisaged that such acquisition or acquisitions will trigger a reverse takeover in accordance with the listing rules.
