Notice to the remaining holders ("Noteholders") of the £450,000,000 Subordinated Resettable Fixed Rate Notes due 2075 ("the Notes") (ISIN: XS1216019585)
Notice of redemption
NOTICE IS HEREBY GIVEN to the remaining holders of the Notes that, following the successful completion of the tender offer more particularly described in the tender offer memorandum dated 10 May 2024 (a copy of which was sent to you as a holder of Notes), the Issuer has repurchased and cancelled £414,693,000 in aggregate principal amount of the Notes, representing 92.15 per cent. of the nominal amount of the originally issued Notes.
You are hereby notified that, pursuant to Condition 6(e) (Redemption for Substantial Repurchase Event) of the terms and conditions of the Notes detailed in the Prospectus dated 8 April 2015 (the "Terms and Conditions"), the Issuer shall exercise its right to fully redeem all of the Notes outstanding on 21 June 2024 (the "Redemption Date"). Accordingly, on the Redemption Date, all remaining Notes shall be redeemed at their principal amount, together with any accrued and unpaid interest up to (but excluding) the Redemption Date.
Following redemption, the Notes will be cancelled. Accordingly, the listing of the Bonds on the Official List of the FCA and the admission of the Bonds to trading on the Regulated Market of the London Stock Exchange plc will be cancelled on, or shortly after, 21 June 2024.
Expressions defined in the Terms and Conditions shall, unless defined herein or the context otherwise requires, have the same meaning in this notice.
