CLS Holdings plc (the "Company") Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Person

The Company announces that it was notified:

1. on 28 April 2010 that the Sten Mortstedt family and charity trust (the

"Trust") established by Sten Mortstedt, Executive Chairman and Director of the Company, purchased 30,000 ordinary shares of 25 pence each in the Company ("Ordinary Shares") at prices of between 492 pence and 500 pence per Ordinary Share on 28 April 2010. Following this transaction, Mr Mortstedt's interest in the number of Ordinary Shares, including those of which Mr Mortstedt is a beneficiary under the Trust, is 24,949,975 Ordinary Shares (52.83%).

2. on 29 April 2010 that Richard Tice, Deputy Chief Executive Officer

purchased 7,311 Ordinary Shares at a price of 508.7 pence per Ordinary

Share on 29 April 2010. Following this transaction, Mr Tice's interest in

the number of Ordinary Shares is 210,000 Ordinary Shares (0.44%).
