TOTAL VOTING RIGHTS AND CAPITAL AS AT 30th September 2013

In accordance with its obligations under rule 5.6.1 of the Disclosure and Transparency Rules, Caffyns plc confirms that as at 30th September 2013 its issued share capital to which votes apply consists of 2,879,298 ordinary shares of 50 pence each (the "Ordinary Shares") and 2,000,000 6% Cumulative Second Preference Shares of 10 pence each (the "6% Preference Shares"). The total number of voting rights in respect of the Ordinary Shares is 2,879,298 each Ordinary Share having one vote. The total number of voting rights in respect of the 6% Preference Shares is 2,000,000, each 6% Preference Share having one vote.

Caffyns plc holds 124,417 ordinary shares in treasury. The voting rights on the ordinary shares held in treasury have been waived.

The Ordinary Shares are admitted to trading on the Official List of the United Kingdom Listing Authority. However, the 6% Preference Shares are not admitted to trading on a regulated or prescribed market. Excluding the shares held in treasury, there are currently 2,754,881 ordinary shares. This figure should be used by ordinary shareholders as the denominator for the calculation by which they will determine whether they are required to notify their interest in, or a change to their interest in Caffyns plc under the FSA's Disclosure and Transparency Rules.
