Drawdown of Equity Facility and Change of Registered Office

Cloudbreak Discovery Plc (LSE: CDL), a leading natural resources project generator with a particular focus on commodities key to the energy transition, announces that it has elected to draw down a further £378,000 of the £10 million Equity Draw Down Agreement with Crescita Capital LLC ("Crescita") entered into on 16 February 2021. The shares have been issued at 2.25 pence per share resulting in 16,800,000 new ordinary shares being issued.

The capital drawn down will be used to advance the Company's acquisitions of energy royalties, lithium assets and bauxite projects globally.

Application is being made for the new ordinary shares to be admitted to trading which is expected to be on or around 11 July 2022. These shares rank pari passu with the existing ordinary shares of the Company. Following the issue of these shares, the Company's issued ordinary share capital shall consist of 499,974,200 ordinary shares. The figure of 499,974,200 represents the total voting rights in the Company and should be used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's ("FCA") Disclosure Guidance & Transparency Rules.

Change of Registered Office

In addition, the Company announces that its registered office has changed with immediate effect to Suite 10011, 15 Ingestre Place, London, W1F 0DU.
