AMENDMENT TO RESOLUTION

Berkeley Resources Limited ("Berkeley" or the "Company") advises that it will seek shareholder approval to change the name of the Company to 'Berkeley Energy Limited' at the General Meeting of Shareholders to be held on 31 July 2015.

In accordance with the Notice of General Meeting (Announcement dated 30 June 2015), the Company is seeking approval to change its name to more closely reflect the Company's proposed transition to a uranium producer.

The Company originally intended to change its name to 'Berkeley Energy Corporation Limited' however, the Company has subsequently been able to reserve the name 'Berkeley Energy Limited', which it considers more favourable.

Accordingly, the Company advises that the wording of Resolution 1 will be amended, and will now read as follows:

"That, pursuant to and in accordance with section 157(1) of the Corporations Act and for all other purposes, Shareholders adopt 'Berkeley Energy Limited' as the new name of the Company on the terms and conditions in the Explanatory Memorandum."

Shareholders who have already cast a vote (by Proxy Form) in respect of Resolution 1 should contact the Company immediately if they wish to amend or withdraw their vote.
