Notice to Shareholders of a Non-Renounceable Pro Rata Entitlements Issue
We write to you as a registered holder of Berkeley Resources Limited (Berkeley) Shares (ASX code: BKY) as at today's date.
As announced on 23 March 2009, the directors of Berkeley have resolved to undertake a non-renounceable pro rata offer to eligible shareholders on the basis of 1 Share for every 20 Shares held at the Record Date at an issue price $0.50, together with 1 free attaching Listed Option for every 2 Shares subscribed for (Offer). These Listed Options will be exercisable at $0.75 on or before the exercise date, which is anticipated to be 15 May 2013 (subject to change).
The Offer is available to Berkeley shareholders who have registered addresses in Australia on the record date of 19 May 2009 (Record Date).
The prospectus in relation to the Offer has been lodged with the ASIC and ASX and is available at the ASX website: www.asx.com.au and at the Company's website: www.berkeleyresources.com.au.
You will be entitled to participate in the Offer if you remain registered as a shareholder of Berkeley on the Record Date with a registered address in Australia. The timetable for the Offer is as follows:
