Notice to Shareholders ofΒ a Non-Renounceable Pro Rata EntitlementsΒ Issue
We write to you asΒ aΒ registered holder ofΒ Berkeley Resources LimitedΒ (Berkeley)Β Shares (ASX code:Β BKY) as at today's date.
As announced on 23Β March 2009, the directors of BerkeleyΒ have resolved toΒ undertakeΒ aΒ non-renounceable pro rata offer to eligible shareholders on the basis of 1 Share for every 20 Shares held at the Record Date at an issue price $0.50, together with 1 free attaching Listed Option for every 2 Shares subscribed forΒ (Offer). These Listed Options will be exercisable at $0.75 on or before the exercise date, which is anticipated to be 15 May 2013 (subject to change).
The Offer is available toΒ BerkeleyΒ shareholdersΒ who have registered addresses inΒ AustraliaΒ on the record date ofΒ 19 May 2009 (Record Date).
The prospectus in relation to the Offer has been lodged with the ASIC and ASX and is available at theΒ ASX website:Β www.asx.com.auΒ and at theΒ Company's website: www.berkeleyresources.com.au.Β
You will be entitled to participate in the OfferΒ if you remain registered as a shareholder ofΒ BerkeleyΒ on the RecordΒ DateΒ with a registered address inΒ Australia. The timetable for the Offer is as follows:
