Total Voting Rights
Further to the announcement made by The Berkeley Group Holdings plc (the "Company") on 23 January 2014, an additional 500,000 ordinary shares of 5p each ("shares") were admitted to trading on 31 January 2014 (the "Admission"). The Company now announces that it has a total of 135,357,183 shares in issue and admitted to trading, with one voting right per share. There are no shares held in Treasury.
The total number of voting shares in the Company is therefore 135,357,183. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the UK Financial Conduct Authority's Disclosure and Transparency Rules.

The Company was notified on 31 January 2014 that, under The Berkeley Group Holdings plc 2009A Long-Term Incentive Plan (the "2009A LTIP"), shares were issued to the participants of the 2009A LTIP on 31 January 2014 as detailed in the table below:

The number of shares issued of 4,208,071 represents the 4,441,950 options vested under the 2009A LTIP, net of the exercise price on vesting of £1.36/share. The 2009A LTIP relates to the original 2004 scheme of arrangement, which was amended in 2009 to reflect a change of strategy agreed with shareholders, to increase investment in the business and lock-in management for a further five years.
At the same time, the Company was notified that following the vesting, the participants sold shares, at
£25.83 per share, principally to enable them to meet the tax, national insurance and costs associated with the vesting of these awards. UBS acted as sole placing agent.

Holding(s) in Company
Following the Admission and the transfer of shares out of Treasury announced on 30 January 2014, The Berkeley Group Holdings plc Employee Benefit Trust's (the "EBT") direct interest in the Company's shares was 4,314,869 shares, representing 3.188% of the Total Voting Rights.
Following the vesting and issue of shares noted above, the EBT's direct interest in the Company's shares decreased to 106,798, representing 0.079% of the Total Voting Rights.
