The Company confirms that it has received notice that on 22 January 2018, Ocorian Trustees (Jersey) Limited as trustees of the Billington Holdings ESOP Trust disposed of 7,800 Ordinary Shares for nil consideration, accordingly Ocorian Trustees (Jersey) Limited, as trustee of the Billington Holdings ESOP Trust now holds nil Ordinary Shares representing 0% of the total issued share capital of the Company.
At the same time, the Company has received notice that on the same date, Ocorian Trustees (Jersey) Limited, as trustee for the Billington Holdings Plc Employee Share Ownership Trust has acquired 7,800 Ordinary Shares in the Company, for nil consideration, and accordingly now holds 893,719 Ordinary Shares in the Company which represents 6.94% of the issued share capital.
The Company is aware that Ocorian Trustees (Jersey) Limited, as trustee for the various Billington Employee Trusts has continued to restructure its shareholding to facilitate any new employee share option arrangements and any future option arrangements that may be established in the future.
The following notifications, made in accordance with the requirements of the EU Market Abuse Regulation, gives further details.
