Awards under the Company's Long Term Incentive Plan
Billington Holdings Plc (AIM: BILN), one of the UK's leading structural steel and construction safety solutions specialists, confirms that its Remuneration Committee (the "Committee") has agreed the following awards under the Long Term Incentive Plan (the "Plan" or "LTIP").
The objective of the Plan is to ensure that the strategic objectives of the Company align with those of the senior management and that the structure of the overall remuneration package assists in maximising shareholder value.
The performance criteria for these LTIP awards over ordinary shares of 10p each in the Company ("Ordinary Shares") specifically relates to the profitability of the Company. The full vesting will only occur should profitability targets be achieved during the performance period of the award.
The awards which have been made under the Plan, relate to the period being financial years 2025 to 2027. The performance criteria for this award requires the Group to achieve a cumulative statutory unadjusted Profit Before Tax (PBT) range of £30 million (25% vests) to £40 million (100% vests), for the three years.
