Director Share purchases via Employee Share Incentive Plan
Bango (AIM: BGO), the global platform for data driven commerce, announces that it has established a new share incentive plan (the "SIP" or the "Plan") open to all UK based Bango employees.
The SIP, which was entered into in November, has been adopted to support the principles of wider share ownership among all Bango's UK based employees. The SIP allows employees to purchase ordinary shares of 20 pence each in Bango ("Ordinary Shares") via the SIP trustee, up to HMRC limits (currently £1,800 in any tax year). The Ordinary Shares acquired in this manner are referred to as "Partnership Shares" and, for each Partnership Share purchased, participants are awarded two further free Ordinary Shares, known as a "Matching Shares". Matching and Partnership Shares are purchased by the trust on the open market.
Matching Shares must be held for a minimum holding period of 3 years and are forfeited if, during that period, the employee ceases to be employed by Bango.
Several employees that participate in Plan the are also PDMRs, and therefore their purchases under the Plan will be reported as they are made.
Initial purchase of Partnership Shares and award of Matching Shares
On 24 November 2022, the Company received notification from Equiniti Share Plan Trustees Limited, the trustee of the SIP, that on 23 November 2022 it purchased in aggregate 11,355 Ordinary Shares in the market at a price of 194p per Ordinary Share on behalf of those Directors and PDMRs set out in the table below. These individuals were awarded Matching Shares in line with the plan rules.
