Proposed Board Changes

Rightster Group plc (LSE AIM: RSTR), the digital video distribution and monetisation network, announces that as part of an ongoing strategic review announced on 16 October 2015, it has been agreed that certain existing directors intend to step down from the Board with a proposed new management team to be appointed subject to the necessary regulatory approvals.

It is the intention that Mark Lieberman (non-executive chairman), Michael Broughton (non-executive director) and David Mathewson (non-executive director) will step down from the Board following an orderly transition to the proposed new management team. Furthermore, Patrick Walker has informed the Board that he intends to step down as CEO and move to a non-executive role on the Board in due course as part of the orderly transition. Niall Dore (CFO) and Jack Barnett (non-executive director) will remain on the Board in their existing roles.

The proposed new management team, supported by the major shareholders, comprises, Ashley MacKenzie, previously CEO of Base79 Limited, as proposed CEO, Sir Robin Miller as proposed non-executive Chairman, Richard Mansell as proposed chief operating officer and Mark Cranmer as proposed non-executive director. A further regulatory announcement will be made in due course.

It is the intention of the proposed new management team to continue to pursue the strategic review announced on 16 October 2015. As part of his responsibilities as a non-executive director, Patrick will continue to oversee the strategic review.
