Grant of Restricted Stock Units

Director/PDMR Shareholding

Brave Bison, the digital advertising and technology services company, announces that it has granted 10,000,000 restricted stock units ("RSUs") to Philippa Norridge, Chief Financial Officer of the Group.

The RSUs have been granted as EMI-qualifying RSUs under the Company's Restricted Stock Unit Plan, adopted in November 2017 (the "2017 Plan"), and entitle the recipient to receive new ordinary shares in the Company upon exercise of the RSUs at an exercise price of 1.875 pence per ordinary share.

The RSUs will vest in three equal tranches over a three-year period commencing on 1 May 2023.

Philippa Norridge joined Brave Bison in 2020 and has served as the Company's CFO during a period of significant growth in earnings per share. In 2020, Philippa was granted 12,256,424 RSUs at an exercise price of 0.1p, which were fully vested as at 30 April 2023, and remain unexercised. Furthermore, Philippa holds an additional 1,354,319 ordinary shares which were acquired during placings and open-market transactions as recently as 24 October 2023.

The total pool of RSUs under the 2017 Plan is limited to 12.5 per cent of the Company's issued ordinary share capital and following the above grant, a total of 85,067,288 RSUs are now in issue, representing approximately 6.6 per cent. of Brave Bison's issued ordinary share capital.
