NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARING MANAGERIAL RESPONSIBILITY (PDMR) OR CONNECTED PERSONS

A.G. BARR p.l.c. ("the Company") was notified on 10 December 2012 that the following transactions took place in relation to the A.G. BARR All Employee Share Ownership Plan (AESOP) on 7 December 2012. The AESOP is an all-employee trust arrangement approved by HM Revenue and Customs, under which employees are able to buy ordinary shares in the Company of 4⅙p each, using deductions from salary in each pay period, and receive allocations of matching free ordinary shares ("matching shares").

The AESOP trust acquired 6,461 ordinary shares by purchase in the market on 7 December 2012 at a total cost of £31,174.33 and allocated them to employees participating in the AESOP.

The following directors and persons discharging managerial responsibilities purchased the number of ordinary shares of 4⅙ set out against their names below, at a price of £4.825 per ordinary share, and were allocated for no consideration the number of matching shares set out against their names below:
