Directors' and PDMRs' Interest in Shares
As previously disclosed, awards were granted under the Company's Performance Share Plan to Executive Directors, persons discharging managerial responsibilities ('PDMRs') and other employees (together 'Participants') on 6 December 2017 ('the 2017 Awards').
The 2017 Awards were granted as nil cost option awards to UK participants and conditional awards to US participants. All awards were subject to performance conditions based on the Company's Total Shareholder Return ('TSR') and Earnings Per Share ('EPS'), to be measured over a 3 year performance period which commenced on 1 October 2017 and ended on 30 September 2020. The start and end point of the Company's TSR performance by reference to the comparator group was measured over the 5 days following the announcement of the Company's annual results for the year ended 30 September 2017 and the year ended 30 September 2020. The Company's EPS performance was measured by reference to the EPS in the 2017 and 2020 year end results.
The Remuneration Committee confirmed on 12 January 2021 that 100% of the 2017 Awards would vest. Messrs McDonald, Keveth and Ingrey-Counter exercised their options on the vesting date.
The table below shows the number of related shares acquired by Executive Directors and PDMRs, the number of shares sold to satisfy the tax and national insurance/social security liabilities, any additional shares sold; and the number of shares retained following the sales.
