Voting rights and capital
In accordance with the FCA's Disclosure Rules and Transparency Rules, Ascential plc (the "Company") announces that on 12 February 2016:
· it has 400,000,000 issued ordinary shares of £0.10 each admitted to trading. Each ordinary share carries the right to one vote in relation to all circumstances at general meetings of the Company;
· it does not hold any ordinary shares in treasury; and
· accordingly, the total number of voting rights in the Company is 400,000,000.
The total voting rights figure (400,000,000) may be used by shareholders and others with notification obligations as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interests in, the Company under the FCA's Disclosure Rules and Transparency Rules.
