Total Voting Rights

The Company confirms that, following the successful completion of a fully underwritten non-pre-emptive placing of ordinary shares in the capital of the Company ("Ordinary Shares") as announced on 26 May 2023, a total of 17,938,292 new Ordinary Shares (the "Placing Shares") were admitted to trading on the London Stock Exchange plc's main market for listed securities (the "LSE") on 31 May 2023.

Furthermore, following successful completion of a retail offer via the PrimaryBid platform as announced on 26 May 2023, a total of 1,155,509 new Ordinary Shares (the "Retail Shares") were also admitted to trading on the LSE on 31 May 2023.

In addition, 17,868 new Ordinary Shares have been allotted and issued on 31 May 2023 to satisfy the vesting of awards under the ASOS plc Long Term Incentive Scheme ("ALTIS") under the Company's block listing authority (the "ALTIS Shares").

In aggregate, the Placing Shares, Retail Shares and ALTIS Shares comprise 19,111,669 new Ordinary Shares, which have been credited as fully paid and rank pari passu in all respects with each other and with existing Ordinary Shares.

For the purposes of DTR 5.6.1R and DTR 5.6.1AR, the Company notifies the market of the following:

As at 31 May 2023, the Company's issued and fully paid share capital consists of 119,156,169 Ordinary Shares, with one voting right per share. The Company does not hold any Ordinary Shares in Treasury. The total number of voting rights in the Company is therefore 119,156,169.

The above figure of 119,156,169 should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
