Don Bailey Options Awards

Arc Minerals ("Arc" or the "Company") announces that Mr Don Bailey, a non-executive director of the Company responsible for a number of projects at the Zamsort copper cobalt project ("Zamsort") has requested that he be remunerated in Arc shares in lieu of cash remuneration.
Mr Bailey has been issued options over a total of 2.5 million new ordinary shares of no par value ("Ordinary Shares") of the Company ("Share Options") which have an exercise price of 7.0 pence per Ordinary Share representing an approximate 60% premium over the closing mid-market price of 4.35 pence per Ordinary Share on 12 June 2018. The Share Options are exercisable from 12 June 2018 and expire on 12 June 2023.
Separately, the Company is considering setting up a Long-Term Share Incentive Programme (the "Programme") and will in the future consider awarding Mr Bailey shares in this Programme based on attaining a number of operating targets.
In addition, the Company has issued Mr Bailey Share Options over a total of 1.2 million Ordinary Shares of the Company relating to his role as a non-executive director of Arc, which have an exercise price of 4.5 pence per Ordinary Share ("Remuneration Options"), in line with the awards made recently to other non-executive directors of Arc, as announced on 31 May 2018. These represent an approximate 34% premium over the closing mid-market price of Ordinary Shares on 29 May 2018. The Remuneration Options are exercisable from 12 June 2018 and expire on 31 May 2023.
Following the above grant, there are a total of 35,848,710 share options granted over unissued Ordinary Shares granted to Directors andΒ employees of the Company, representing approximately 6.44% of the Company's current issued Ordinary Share capital of 556,540,600 Ordinary Shares.
