b) | Position / status | The notification concerns a PCA of Lawrence Stroll, Executive Chairman of the Company. |

a) | Description of the financial instrument | Ordinary shares of £0.10 each in the capital of the Company (the "Shares"). |
b) | Nature of the transaction | Yew Tree Overseas Limited ("Yew Tree") holds 1,449,275 Shares as nominee for SHL (the "Relevant Shares"). On 11 August 2021, Yew Tree entered into an amended and restated version of an existing security interest agreement between Yew Tree and Union Bancaire Privée ("UBP") (the "A&R Security Interest Agreement"). In entering into the A&R Security Interest Agreement, Yew Tree amended and restated the security arrangements previously disclosed in the prospectuses published by the Company on 27 February 2020 and 18 November 2020, pursuant to which, together with other assets held by Yew Tree, all of the Shares held by Yew Tree, including the Relevant Shares that Yew Tree holds as nominee for SHL, are subject to security arrangements with UBP. |
c) | Price(s) and volume(s) | 1,449,275 Shares, being the number of Shares that Yew Tree holds as nominee for SHL. A separate notification has been made in respect of Yew Tree simultaneously with this notification. No price applicable; the transaction concerns the amendment and restatement of Yew Tree's existing security arrangements only. |
