("ADAM" or the "Company")
Result of AGM
The Directors of the Company are pleased to announce that at the annual general meeting held on 11 July 2014 all resolutions were duly passed.
As a result (i) an aggregate of 190,374,229 Existing Ordinary Shares were authorised to be allotted on the exchange of the Consideration Warrants and Shareholder Warrants for Existing Ordinary Shares; and (ii) 31,648,000 Existing Ordinary Shares were authorised to be allotted in relation to the Subscription Agreements.
Accordingly, the aggregate number of Existing Ordinary Shares in issue and authorised to be allotted (immediately prior to the Share Consolidation) was 1,919,424,399.
Following the Share Consolidation, which was on the basis of one New Ordinary Share for every ten Existing Ordinary Shares, there are 191,942,420 New Ordinary Shares in issue.
The New Ordinary Shares are expected to be admitted to trading on AIM at 8.00 a.m. on 15 July 2014. The ISIN of the New Ordinary Shares is VGG008271162.
Definitions used in this announcement have the same meaning as in the announcement issued on 19 June 2014.
