NOTICE OF REDEMPTION AND CANCELLATION OF LISTING OF 10 ¾ PER CENT. FIRST MORTGAGE DEBENTURE STOCK 2014 (SEDOL Code 0607401)

TO THE HOLDERS (THE "STOCKHOLDERS") OF 10 ¾ PER CENT. FIRST MORTGAGE DEBENTURE STOCK 2014 (THE "2014 DEBENTURE STOCK") OF THE COMPANY

NOTICE IS HEREBY GIVEN by the Company to the Stockholders that on 20th December 2014 (the "Redemption Date") the Company intends to redeem all of the outstanding 2014 Debenture Stock in accordance with the terms and conditions for the 2014 Debenture Stock.

The outstanding 2014 Debenture Stock will be redeemed at par together with payment of accrued interest up to and including the Redemption Date (the "Redemption Amount").

Payment of the Redemption Amount will be made by cheque or, in the case of interest, in accordance with existing instructions on the Redemption Date on the Company's behalf by the Company's registrar, Computershare Investor Services PLC (the "Company's Registrar"). Please note, interest will cease to accrue on the 2014 Debenture Stock with effect from the Redemption Date.

Any Redemption Amount due to a Stockholder but in respect of which a cheque has not been presented for payment or otherwise been made within six months of the Redemption Date shall be paid to the trustee of the 2014 Debenture Stock, The Law Debenture Trust Corporation p.l.c., (the "Trustee") who shall hold such amount in trust for the relevant Stockholder until such time as the Stockholder makes arrangements for payment with the Trustee.

The Company has requested that the listing of the 2014 Debenture Stock on the Official List of the UK Listing Authority and its trading on the Main Market of the London Stock Exchange be cancelled at 8.00 a.m. on 24 December 2014.

Further information regarding the redemption of the 2014 Debenture Stock is set out in a separate letter addressed to the Stockholders from the Company's Registrar.
