Dechert Shepherds Tiziana on Novel Path to Value Creation with Completion of Migration and Common Share Nasdaq Listing

Dechert has advised Tiziana Life Sciences on its jurisdictional migration and movement from listings on both the Main Market of the London Stock Exchange and NASDAQ to a sole listing on NASDAQ. A new Bermuda incorporated company was established as the ultimate parent company of the Tiziana group and the reorganisation was effected by an English-law scheme of arrangement. Tiziana eliminated its ADR program and established a direct listing of common shares on NASDAQ as a consequence of the transaction.

Tiziana Life Sciences is a biotechnology company that focuses on the discovery and development of novel molecules to treat human diseases in oncology, inflammation and infectious diseases.

The implementation and communication around these corporate actions has been incredibly incompetent and should be taken up via complaints to the FCA, Action Fraud, SEC, MPs, Senators and the wider press. Has ShareSoc taken this up? Something to do in the new year in the absence of progress. I have no doubt that there would have been a class action in the USA already given this situation.

Nice to see that the Company has reported payments of a few shillings to the Angolan government, who I hope will make wiser use of them than they have with their past petroleum takings.

£86,000 quid materiality limit seems awful generous, but then isnt that the UK government way!

Let's hope we can generate the revenues to pay these poor governments more than a pittance in 2022!

Good morning all. Normally I comment sparingly and don't have time to read through every post on every share I am invested in, but I did want to say that I have enjoyed the debate on here this morning, although the difference of opinion on strategy between working up the DSO and then purchasing Munni Munni versus the deal that has been done is simply that, a difference of opinion. The UFO BOD has decided to go with the Artemis deal and follow a consolidation strategy for the licensed acreage around Munni Munni and EH.
This means a degree of dilution which is a negative, but in this case UFO get to keep Artemis as a significant stakeholder and therefore, presumably, access to their prior knowledge and input for future plans, which is a positive. There is a lot of detailed geological knowledge that can get lost when a company sells out and moves on completely.

Additionally, having a single large holding means that large scale and continuous geophysical surveys are possible, allowing extension of drill and mine knowledge over undrilled territory. Could be a big plus. Logistics are also simplified, and once proved up, a larger scale of resource should hopefully prove more attractive for JV/acquisition by a major for the development stage.

The DSO is geologically simple and now is more a matter of business development, so UFO can concentrate more of their technical resources at EH/Munni Munni.

The price drop from 0.77-0.8p since the start of December looks even more suspicious now.

I agree ROCK has been quiet but we have now entered a relatively news rich period.
Assays from Copperhead holes 2 and 3 to come, then drill results and assays from holes 4 and 5. Hole 1 indicates a possible doubling of initial resource estimates as depth of mineralisation has gone from 300m to 500m but also with indications of grade increasing with depth. As mineralisation is obviously open at depth, another phase of drilling at Copperhead would be expected in 2022.

Plateau deep gravity anomaly drill down to 1000 m should also be producing results over the next few weeks.

Assuming we have a minimum 2MT Cu Eq let's compute a floor price for BR using Cygnus7s not unreasonable numbers: $10k/T gives us an in-place total value of $20 B or £15 B (USDGBP 0.75).
In a well located and stable jurisdiction, 2% offer per tonne for the Cu leads to £300 million value.
Equivalent to 30 p per share over 1 billion shares (the recovery discountas should already be baked into any offer price) JUST FOR BUSHRANGER.
Once we get the assays, don't forget that the gold grades, and any other commerical metal recovery, also contribute to the CuEq (copper equivalent) tonnage calculation.
