Because the Company and it's HB must think it material enough to warrant issuing an RNS.

The nominees don't buy or sell the shares, they just hold them for their clients. Most PIs will have an account with a Stockbroker(s), which would be a nominee account, when that Private Investors buys a share, their Broker will make the transaction, normally through a Market Maker, when the trade settles the shares are held in your account with the nominee broker. The cumulative amount of shares owned by the different clients forms the nominee accounts holding in that company. These nominee accounts are often execution only brokers they do not decide for you, you make the decision.

The remaining shares (the other 50%) will be under the 3% holding amount and so won't be on the significant shareholder list, as I said many Companies wouldn't put down nominee accounts in their significant shareholders because it isn't one holding but a total of many smaller holdings.

They are all nominees (stockbrokers), apart from Paul Gazzard and his holding is worth £2k now.

The nominees don't have to regularly update changes to their holdings, otherwise there would be a flood of RNSs every day on every share.

Take for instance Barclays, if you have bought a company's shares through Barclays then your shares are in the total for that nominee account (there could be hundreds of people holding through Barclays and dozens of them trading every day). You could have someone with a Barclays account sell 6.5m shares and another person with an Interactive Investor account buys 6.5m later, neither are going to issue an RNS and the shares just slosh around the different nominee accounts.

The shares are out there and have to be held in a nominee account for most small investors nowadays (no longer use share certificates), so really nothing to get from those figures and most companies wouldn't include them.

Can you give me one good reason why I can't post on a DKE forum that I have posted on for over three years now. Is it only for investors? Or do you really just want a positive echo chamber with no contrary views and opinions?

The final entity after RTO needs to be valued at £30m.

DKE has very little to no cash and negative net assets of -£1.5m.

So what is the value of a listing? Reducing the cost of listing and any carried forward tax losses, however as DKE is still in the real estate sector a Company can only utilise those tax losses if they are in the same sector, to change sector DKE would have to issue a prospectus, which is one of the costly things for an IPO.

So without those and the debts what is the value of DKE???

Then dilute by the £30m the other Company would have to be worth.

Then ask yourself why a private company wants a listing? It's generally either for founder investors to sell a stake in their company or they new company wants to raise funds in the market. Either are likely to mean even more shares being issued.

Clean shells are attractive and if they have some cash as well, even more so, DKE is anything but clean with the negative net assets and the sector it is in.

You were the one that tried to make this personal with your comments. I have a very different and may I say more experienced opinion of this Company than you, I am allowed to post that opinion as much as you, these BBs aren't just for those invested

I have stated many things and many facts, you on the other hand state things like 'corruption' with absolutely nothing to back it up, apart from your wild imagination.

If you took off your rose tinted glasses and read what others had said about the Company, you could be 3 times richer with your capital invested here than you now are. You and others now face a long wait, with the bid price a third of the suspension price and really not a lot to offer, £1.5m negative net asset figure, a statement that it needs to raise finance in the last RNS and no real business plan other than they are looking for a Company to RTO with....

Because I can.

Their next stated plan was to -

"The directors have continued to take steps to reduce the costs incurred by the Company and are taking steps to best ensure the viability of any future transaction by exploring further funding into the Company alongside the appointed broker to enable the 2023 accounts to contain an auditor going concern statement that is not qualified"

They also stated -

"The accounts for the period ending 30 September 2023 will be published no later than by 31 January 2024."

Here's some news...

I think the words you need to read are 'State Owned' and then think why a Company that can invest billions would apparently be interested in an RTO with a £350k valued Company in the wrong sector for a UK listing. State Owned companies are way beyond a listing and why would they want to share anything with other shareholders. A listing is a means to raise money, Masdar can already raise money with far bigger instruments and far deeper pockets...

Not sure why you are confused, every Public Listed Company has to have a Company Secretary, it is not usual for Companies to 'operate without one for two months' and I don't see the appointment of one as a positive or a negative, they have to have one.

The fact that it has been handled rather badly by the Company in terms of informing CH of the resignation late and then not having one in place straight away, when it is likely they knew what was happening, should be a red flag though...But not surprising with this BoD...

It is apparent they have been operating without a Company Secretary for a period of time and they have now deemed to announce one. I think you will find that just like an operating address, companies offer accountancy services and Company Secretary services to those who need them.

So hardly a buy sign, it shows how poor they are at the moment in organising anything. Reactive rather than proactive.

I reckon you will see a spike soon, which will catch a lot of newbies out that jump aboard, then soon after a financing will be announced (probably a CLN) that will see everyone very diluted and the price drop back...

You do your thing and I will follow my own instincts, but just remind me who told LTHs (oops sorry you only bought in just before the suspension), to take some off the table after the relist as capital preservation when investing here is paramount.

They have to show the Registrar on their website it is a requirement.

If they had changed it, do you not think they would have taken the ex-Company Secretary off that page? In fact who is the Company Secretary now?

DKE is not within the Energy Sector, they would need a new Prospectus issued to change that. They haven't managed to do that for years now....
