I've just downloaded to Articles of Incorporation and you're spot on. 3% and every 1% thereafter it is. That's clearly not what e are seeing though.

I think some on here are missing the significance of the reference to non-UK issuer in DRT5. Andrada is a non-UK issuer. That means 5% or multiples thereof.

Don't forget Andrada has 1.65b shares in issue. 5% is 82,500,000. Some holders could dump over 20m shares with no obligation to inform the company.

You're wrong, DTR Disclosure Guidelines are crystal clear. DRT5, part 5.1.2 states the following:-

A person must notify the issuer of the percentage of its voting rights he holds as shareholder or holds or is deemed to hold through his direct or indirect holding of financial instruments falling within ■ DTR 5.3.1R (1) (or a combination of such holdings) if the percentage of those voting rights:

(1) reaches, exceeds or falls below 3%, 4%, 5%, 6%, 7%, 8%, 9%, 10% and each 1% threshold thereafter up to 100% (or in the case of a non-UK issuer on the basis of thresholds at 5%, 10%, 15%, 20%, 25%, 30%, 50% and 75%) as a result of an acquisition or disposal of shares or financial instruments falling within ■ DTR 5.3.1 R

The TR-1 requirement on non UK issuers requires notification at 5%, 10%, 15% etc. crossed.

See Canaccord's RNS 196h. May 2021. The section below 1b clearly states Non-UK issuer.

The rules are quite clear. How/why people insist on misinterpreting them I don't know.

The only thing he needs to do is take a look at the company's share register to establish who is selling. Its not that difficult.

AV should get the broker onto trying to find a buyer for the shares being dumped. That would put an end to things.

I've never found Morning Star to be particularly reliable.

Andrada's published figures don't confirm that there is no major seller only that holders with +3% aren't dumping large numbers of shares.

There does, on the face of it, appear to be something going on here that's not right but just exactly what that might be is not clear. The one thing I do find curious is why Andrada felt the need to update their web site with information 3 months sooner than required by Aim Rule 26. Is it their way of confirming things or is there some other reason.

That old chestnut. Does it not occur to you that companies like Red Rock are the poison that will eventual do for AIM. Sucking in capital for new useful return. That's what I suspect nearly every detractor posting here is motivated by. The sense that companiy's like Red Rock are just simply wrong that they're not what AIM is essentially for.

You made the decision to invest here, own that decision and its consequences. Don't try to hoodwink other naive investors into giving you an out.

There is, of course, the outside possibility that the trade on Friday will trigger a TR-1. Canaccord's holding on the 31st. August was 6.5% or 107,460,778. They are required to announce if they go below 5%. Persistent selling since 31/08 plus the 5,607,500 of Friday might just be enough to trigger that.

Then again, it might not!
