437Public companies: laying of accounts and reports before general meeting

(1)The directors of a public company must lay before the company in general meeting copies of its annual accounts and reports.

(2)This section must be complied with not later than the end of the period for filing the accounts and reports in question.

(3)In the Companies Acts“accounts meeting”, in relation to a public company, means a general meeting of the company at which the company's annual accounts and reports are (or are to be) laid in accordance with this section.

The important bit is "at a General meeting of the company." That is not necessarily the AGM. They have a different legal meaning.

Grateful - I gave you the quote from Fortune Law which states they have to be presented at a General Meeting but not necessarily the AGM. Go and have a look if you want. You quoted in your original post that it specifically stipulates in the Companies Act 2006 that Reports and Accounts are compulsory at an AGM so if you could provide a link to that information that would settle the matter once and for all. I have had a look but can't locate it in the Section on AGM's

Grateful - I think you misinterpreted my reply.

A public company must present its Annual Report & Accounts at a General Meeting but not necessarily the Annual General Meeting. There is a difference. You will see that this year PPP adjourned the AGM on 17 February but held a General Meeting on 3 July

Grateful - whilst it's true that private companies do not need to present their Annual Report & Accounts at an AGM it is different for public companies.

The AGM need not have been adjourned because the Annual Report & Accounts had not been issued. In fact there was a legal requirement to have held it by September 2024. The only reason Lunn adjourned it is because he knew he would not be re-electec.
