Bignose i have read the announcement again and the position re the potential dilution from the conversion shares is as you suggest not immediate and indeed its full scale and timing will i think depend entirely on how the loan note holders choose to proceed.if I've understood it correctly(a big if) how it works is as follows.the egm to authorise and agree everything including the authority to issue the conversion shares as and when necessary will take place in july.assuming all is approved etc they expect to issue he CP certificate by end of july to say all conditions met etc and then on the closing date a few days later the loan notes are issued and interest at 4%starts to run.no shares are issued until one or more note holders requests it.a request to issue can be made at any time during the 3 year period starting on the closing date so up until august 2022 i imagine.the number of shares ultimately issued will depend on what requests are made and how much interest has accrued but can be up to the maximum permitted as highlighted by you although this assumes in effect that all the conversions take place at the end of the conversion period when the maximum interest has accrued.apologies but i will have to leave finishing this post now until tomorrow as some domestic responsibilities are summoning me which i can no longer ignore.

extremely strong indicative buy pattern.suspect that after the initial negative effect of announcing ceos immediate resignation this will be seen as a very important positive development.imo

dip stick i would ad to that the situation with ebioss which is still i believe suspended.they were awaiting approval from two remaining bondholders to the proposed acquisitions when last i looked but that was about a month ago i think.it may be of no significance at all but it is another current area of uncertainty

its a wet sunday afternoon here in the uk so in lieu of doing anything active I've been looking at the announcements again(yes i don't get out much!). hadn't really paid much attention to this but looking at the figures the unnamed other third party investors are putting in by far the greatest proportion of funds under the CLNs (9.1 m usd).dont want to read too much into this but my take would be that these are persons/bodies with their emphasis on the CBD market and indeed the announcement suggests this.i suspect therefore that the new funds (or at least those not needed to fund ongoing running cost and perhaps some of the aussie tax) are going to be used in further acquisitions in this area. can't imagine they would want to fund another acquisition through issuing yet further shares and it seems a lot of money for just marketing or software development costs but I'm just guessing of course..gibsons comments say they are going to use it to expand in this area.i realise I'm largely stating the obvious from the announcement's wording but i think it gives emphasis to how the direction of the company is probably about to change radically.i am going to see how things go over the next few weeks as I'm anxious to see how they actually deal with the aussie tax but i might then be wondering whether it might be appropriate to consider a modest top up.all just speculation of course and probably completely wrong.problem is i don't really understand what yooya do and its hard to get a clear picture from what i have read.if anyone with local knowledge of their operations can elaborate I'm sure we would all be very interested

bignose agree with all you say.i do wonder if the wheels within wheels are revolving around chinese approval and (online?) marketing of fortacin.one thing is absolutely certain however is that this particular vehicle is being run solely for the benefit of the principal investors and i just hope we are fortunate to benefit as pis from their goals.

afternoon bignose.i have read your post with interest.actually i did spot the roll up interest point and the deferred salaries and previously advanced funds point.(no trumpet blowing intended,its just that I've had to read the announceme its so many times to understand them that i was bound pick up on them eventually).these points in part lay behind my references to the scale of the proposals and also the oblique reference to financial legerdemain in my earlier post.there is a great deal in these proposals and i entirely agree with your analysis and am happy to go along with your figures as the maths is beyond me.i imagine the deferred salary point reflects the statement by another poster (sorry can't remember which one but a regular)that they understood jamie wasn't taking his full salary.no certainly never mentioned by the company.i agree its price sensitive but in fairness i don't think it would have done the sp much good if they had announced that they were so short of funds they couldn't pay the ceo's salary so I'm happy tp forgive them particularly as i imagine this has been in the pipeline for a while so they had a mechanism for addressing it in mind.
i entirely agree that this is them going for broke as it were.as pis we are just hanging on tho the coattails of mellon and associates(i supposes alway been like that really) and my take like you is that this is either going to prove transformational and we will rise phoenix like from the ashes of potential failure or crash and burn like icarus.what i think is clever is to use effectively the HK listing to get Yooya onto the main market and i do think it will engender real interest among the local investing community as time goes on.if it helps us to get to FDA approval for fortacin all the better.i hope i am not reading too much into your post but i sense that behind all the concerns etc re dilution and lack of transparency you feel this may prove to be a very positive move over time let us hope so.

sorry bignose you've lost me here .according to the 2018 annual report gibson holds 69,208,513 shares or 3.77%.perhaps i have misunderstood something and if so apologies in advance.i don't really think its going to make much difference to gibson's motivation one way or another as i imagine the salary is the real driver(?) here but perhaps its an interesting thought to consider if the shareholder base of non PIs is widening somewhat is he going to come under greater performance scrutiny from non PIs than at present?

been rereading the formal announcements as every time i do i find something i haven't seen before or fully appreciated (probably because I'm a bit slow on the uptake these days).it seems to me that this is potentially a huge transformation of the share ownership structure. if it all goes through and the conversion shares are all fully converted(which i expect will happen at some point) we shall move from the current situation where 74.42% of shares are in public ownership,i.e. not held by mellon, gibson and their vehicles and associates to one where the percentage reduces to 53.48%.bignose has already alluded to the dilutive effect of the proposals but the percentage figures are quite striking.interstingly gibsons holding would go from 3.77 to 5.68% so he is potentially rather more incentivised than now.now there are plenty of companies where the PIs have percentage holdings in the 50%range so it does not necessarily indicate anything unusual but the figures do demonstrate how control is tightening and strengthening in the hands of a few.this could be a good thing as it should increase their motivation to succeed in theory.let us hope it does in practice.
i agree with those who suggest its in essence a recognition that fortacin probably isn't going to cut it at least in the sense of being able to sustain and justify the company on its own.the addition of another string to the company bow is i hope a good thing for fortacin's ultimate success as it may provide a platform to enable fortacin to get to FDA approval which still think may be the ultimate aim.i am also pleased to see lorne abony here as anything which gives the board more balance and experience should be a good thing.his holding is however quite small.as bignose asks what are they going to use the money for? general corporate purposes and working capital isn't particularly informative and is a little ominous sounding in its blandness but I'm giving them the benefit of the doubt for the time being(i know they don't deserve it but I'm just a generous spirit) and hoping that other plans are afoot or that it will go to good use re fortacin. .overall still feel this is positive development and hoping its not just another piece of financial legerdemain by the master investor some of which have not always gone well for the PIs
