Sm, i hope i am not negative. But i am not a long termer. I can see the value, but also starting to appreciate bod failings and possible organizational dysfunctions from what has been said. My apologies if i sound negatively unbalanced. But ice is right, i am being an opportunist taking advantage of what has become an unfair car crash.

This company ought not to have sunk where it has. I hope it works out for the lths and you could average down.

Profit would be great, then they can pay down debt, provide a sense of security etc. i dont want to appear negative, but seems there are many internal issues that have not been addressed. That indicates bod, snr mgt, middle management problems, inadequate finance orientations and systems and possibly issues of organizational resistance. Does the wood group require transformational change? I dont have insight, only thoughts from what i have read.

Ice I agree there is no cash crunch and no impending doom, order book is looking great, clients fantastic, branding spot on. There are, however, some fundamental business and organizational issues as well as a board that seems unable to deliver. No point in being cash flow positive if you cannot generate a profit

Ice, surely the wood group have multiple paths/options. The issue is which is best, and for whom.

I have not got a clue on value, for that we need annual revenue and total annual net profit after all expenses. But Wood has £6bn annual revenue...where is the net profit...that profit figure is crucial to determine `fair value'...the potential must surely be there...Sidara see it...

Icecool, your balanced analysis is really useful. There are many ways forward...lets see which is chosen. The fewer PI's there are, the less likely we are to get shafted by the institutions

Icecool, the top shareholders could offer to finance corporate bonds, and then, if need be, take over the company at the cost of everybody else...it is not unknown.

I just looked at their Balance sheet and P and L account as summarized on this site under `fundamentals' section. I know their earning are fantastic, but their costs (leaving aside ITDA) are also high. I like they have dumped their turnkey approach. I am no finance analyst...I am raising my doubts and those factors that attract me.

i am no accountant, nor finance person. but seems to me despite revenue of approx £6-9 bn they have difficulty in generating a surplus (net profit)...that seems to have been the case for the last 5 years. more money/financing in itself will be insufficient to turn this round. they have a great order book and clients, great engineers that seem to have engineering excellence. they have ****-poor costing and accounting systems...is that because engineers drive the organization with insufficient financial focus and acumen? i don't know. i am invested here but seem major change is required, additional funding may be necessary but it may not be sufficient. what is necessary may not be desirable to incumbent interests. i really don't have inside knowledge/understanding...but such issues are not simple.

Shusi. Consider this, and evaluate. If, for instance, Wood raise finance through Corporate Bonds, and the company does not turn round, and continues to make a loss, the Bondholders could enforce banruptch and take the company opver. You as a PI would e left with nothing. The financiers/bondholders could be the current largest 10-15 shareholders.

Bigw. I think it is more complex than you make out. For instance , a big issue in professional service engineering professional organizations is the pull of power to the engineers, with an engineering focus. Finance whilst not to be ignored is not necessarily the priority of engineering professionals etc. I though people like ICL, historically Rolls, Pilkington, and many other UK engineering suffered from these issues...I may be completely wrong...but Deloitte seem to point to a lack of focus on accounting and finance.

Metatron...we are small fry...sometimes we win, mostly we get shafted. I try and put my money into larger or funded near term producing companies with critical materials. Wood is a new venture for me, but it seemed too good an opportunity to miss.

Pumpky, it wasnt me...my calculation on Friday was 57.35%, today (with a new declaration) it is 61.135%. That excludes Barclays that seem to go in and out of 5%. the top 5 shareholders control just under 40% of the shares. That to me is quite high concentration.
